TERMS OF SERVICE
Effective Date: December 15, 2025
1. ELIGIBILITY
You must be 18 years or older to use BuddyHQ.
- Individual Creators: If you are using the Service as an individual, you represent that you have the legal capacity to enter into this contract.
- Business Users: If you are using the Service on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.
2. ACCOUNTS & PLANS
2.1 Free Tier
BuddyHQ offers a "Free Forever" plan with limited features. We reserve the right to modify the limits of the Free Tier at any time. Support is "best-effort" only.
2.2 Paid Subscriptions
Advanced features require a paid subscription. You agree to pay the fees applicable to your selected tier.
3. BILLING & PAYMENTS
3.1 Payment Processor
We use Stripe to securely process payments. We do not store your credit card details.
3.2 Auto-Renewal
Subscriptions automatically renew unless cancelled 24 hours before the cycle ends.
3.3 Refunds
Payments are non-refundable, except where required by law. If you downgrade, changes take effect at the end of the billing cycle.
4. USER CONTENT & LICENSE
4.1 Ownership
You retain 100% ownership of all Input Data you upload and the specific Output content generated for you ("Customer Property").
4.2 License to BuddyHQ
You grant us a limited, worldwide, royalty-free license to host, process, and display your Customer Property solely to provide the Service to you.
5. BUDDYHQ INTELLECTUAL PROPERTY
All rights, title, and interest in the BuddyHQ platform—including our code, UI/UX, proprietary AI workflows, logos, and "BuddyHQ" branding—are and will remain the exclusive property of BuddyHQ Inc.
6. AI OUTPUTS & RELIABILITY
6.1 Probabilistic Nature
You acknowledge that AI is probabilistic and may produce inaccurate or non-unique results ("Hallucinations").
6.2 User Responsibility
You are solely responsible for vetting all AI-generated outputs for accuracy, bias, and intellectual property clearance (trademark/copyright) before public or commercial use.
6.3 Non-Reliance
The Service is a creative aid, not a professional legal or compliance advisor.
7. ACCEPTABLE USE POLICY
You agree NOT to use BuddyHQ to:
- Generate deepfakes, political misinformation, or non-consensual sexual content.
- Reverse-engineer our source code or conduct competitive benchmarking.
- Use the API to train other AI models.
- Send unsolicited spam or malicious code.
8. AVAILABILITY & DOWNTIME
The Service is provided "as available." We may experience hardware, software, or other failures (including those of third-party providers like GCP or OpenAI) that result in service interruptions. We are not liable for any inconvenience or loss due to such downtime.
9. WARRANTY DISCLAIMER
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUDDYHQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE CONTENT WILL BE ACCURATE, SECURE, OR ERROR-FREE.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- (A) NO CONSEQUENTIAL DAMAGES: BUDDYHQ SHALL NOT BE LIABLE FOR LOST PROFITS, REPUTATIONAL HARM, OR DATA LOSS.
- (B) LIABILITY CAP: OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE GREATER OF $500 OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS. (FOR FREE TIER USERS, LIABILITY IS CAPPED AT $50).
11. INDEMNIFICATION
You agree to defend, indemnify, and hold BuddyHQ harmless from any claims, damages, or expenses (including attorney's fees) arising from: (i) your use of the Service; (ii) your violation of these Terms; or (iii) your violation of any third-party rights (including IP rights) via your Input Data or generated Outputs.
12. DISPUTE RESOLUTION (ARBITRATION)
Any dispute arising out of or relating to the subject matter of these Terms shall be finally settled by Binding Arbitration administered by the AAA. The language of the arbitration shall be English. You explicitly waive your right to a class action lawsuit or jury trial.
13. GOVERNING LAW
These Terms shall be governed by the internal substantive laws of the State of Delaware, without respect to its conflict of laws principles.
14. CHANGES & SEVERABILITY
- Changes: We may modify these Terms at any time. If a change is material, we will provide reasonable notice. Continued use constitutes acceptance.
- Severability: If any provision of these Terms is found to be unenforceable, that provision will be limited to the minimum extent necessary, and the remaining Terms will remain in full force.
